Founding Client Agreement

This Founding Client Agreement (the “Agreement”) is entered into as of the Start Date below between Allison Michele Designs (the “Provider”) and the client named below (the “Client”). It sets out the terms of the founding-client offer the Client is signing up for.

1. What the Client Receives

Each month during the term, the Provider will deliver, as part of the Starter Jingle Plan:

• One (1) custom 15–30 second jingle per month, created for the Client's business.
• One (1) round of reasonable revisions on that jingle.
• Commercial-use rights for the jingle on the Client's social media.
• Delivery of the finished jingle as an MP3 file.
• As a founding-client bonus, one (1) complimentary 15-minute brand sound consultation.

2. Founding Rate & Term

As one of the Provider's founding clients, the Client locks in a rate of $59.00 per month for a period of twelve (12) months from the Start Date. This founding rate will not increase during the twelve-month term, even if the Provider's standard pricing changes.

After the initial twelve (12) months, the plan continues on a month-to-month basis at the Provider's then-current Starter Plan rate unless the Client and Provider agree otherwise in writing. The Provider will give the Client reasonable notice before any rate change at that point.

3. Payment

The monthly fee is due at the start of each monthly cycle. Payment is handled directly between the Client and the Provider — there is no online checkout or automatic billing through the Provider's website.

If a payment is more than fourteen (14) days late, the Provider may pause work on new jingles until the account is current.

4. Revisions & Scope

The monthly jingle includes one (1) round of reasonable revisions. Additional revisions, extra jingles, longer tracks, or other creative work beyond the Starter Plan are available and will be quoted separately and agreed in writing before any extra work begins.

5. Client's Responsibilities

• Provide timely information about the business, promotions, or message the jingle should highlight.
• Review each jingle and provide consolidated feedback promptly so delivery stays on schedule.
• Confirm the Client has the right to use any names, slogans, or materials it asks the Provider to include.

6. Ownership & Use

Once the monthly fee for a given jingle has been paid, the Client may use that jingle for the commercial social-media purposes described above. The Provider retains ownership of its underlying creative process, tools, and any unused drafts. The Provider may feature finished work in its own portfolio and marketing unless the Client requests otherwise in writing.

7. Cancellation

Either party may raise concerns at any time, and the Provider hopes to resolve any issue directly. Because this is a twelve-month founding commitment, the Client agrees to the twelve-month term; if the Client needs to end the Agreement early, the Client and Provider will discuss a fair resolution in good faith. Any month already paid for will be completed. This section is intentionally simple — see the note at the end about tailoring cancellation terms.

8. General

• This Agreement is governed by the laws of the State of Florida.
• This document reflects the full agreement between the parties on the founding offer and replaces any prior discussion of it.
• Any changes must be agreed in writing by both parties.
• The Provider is an independent business, not an employee or partner of the Client.
